Terms and Conditions

1. Acceptance of Terms
By accessing and using the services of BTSCOMET S.L. (hereinafter "Intellico", "we", "the Company" or "the Service Provider"), you agree to be bound by these Terms and Conditions. If you do not accept these terms, you must not use our services.
These terms constitute a binding legal agreement between you (the "Client") and BTSCOMET S.L.
2. Description of Services
Intellico offers integrated consultancy services for SMEs and startups, including:
- Strategic Services and CXO Part-Time
- Human Resources and Talent Acquisition
- Digital Transformation and 360° Marketing
- Organisation and Internal Processes
- Financial Platform
- Innovation and Development
- Other business consultancy services
The specific description of each service is detailed in individual consultancy proposals.
3. Conditions of Service
To book Intellico services:
- The Client must complete the consultancy request form
- Intellico will evaluate the request and determine project feasibility
- A personalised proposal with budget and timeline will be prepared
- The agreement is binding only after signing the individual contract and payment of required deposits
- The Client must provide accurate and complete information about their organisation
4. Fees and Payment Methods
Fees are specified in the personalised consultancy proposal. Fees may vary depending on:
- Type and complexity of the project
- Duration of the service
- Number of consultants required
- Geographical scope of the project
Payment Methods:
- Bank transfer
- Direct debit
- Credit/debit card
- Financing in instalments (by agreement)
Initial Deposit: Normally a 30-50% deposit is required to confirm service reservation. The balance will be paid according to the agreed schedule.
5. Cancellation Policy
Cancellation by Client:
- If cancellation is made before project start: 100% refund less administrative fees (10%)
- If cancellation is made during the project: no refund; invoicing for services rendered
- Deposits paid are considered payment for services rendered or committed
Cancellation by Intellico: Intellico may cancel the service if:
- The Client fails to meet payment obligations
- The Client provides false or misleading information
- Circumstances arise that prevent service execution
In these cases, the proportional part of unrendered services will be refunded.
6. Client Obligations
The Client agrees to:
- Provide accurate, complete and verifiable information
- Make payments on the agreed dates
- Facilitate access to necessary documentation and information
- Designate a responsible contact point for communications
- Implement agreed recommendations on time
- Maintain confidentiality of sensitive information shared
- Comply with applicable laws and regulations
7. Intellico Obligations
Intellico agrees to:
- Provide professional quality services according to industry standards
- Assign consultants with appropriate experience and competence
- Respect agreed timescales (subject to unforeseen circumstances)
- Maintain confidentiality of Client information
- Communicate regularly the project progress
- Deliver agreed deliverables
8. Confidentiality
Both parties agree to keep confidential all sensitive, financial, operational or strategic information shared during service provision. This obligation will continue for 2 years after project completion.
Exceptions: Confidentiality does not apply to:
- Publicly available information
- Information legally required to be disclosed
- Information developed independently without access to Client confidential information
9. Intellectual Property
Works Prepared: Works, analyses, reports and recommendations prepared by Intellico under contract are Intellico intellectual property, but the Client obtains a licence to use them internally.
Methodologies: Methodologies, processes and tools developed by Intellico remain Intellico intellectual property and cannot be reproduced or sold without authorisation.
10. Limitation of Liability
Disclaimers: Consultancy services are provided "as is". Intellico:
- Does not guarantee specific results or ROI
- Is not responsible for Client business decisions based on recommendations
- Is not responsible for external circumstances beyond its control
- Is not responsible for incorrect information provided by the Client
Limitation of Liability: Intellico's total liability shall not exceed the amount paid for services in the 12 months preceding the claim.
11. Warranties
Intellico warrants that:
- Assigned consultants have the required qualifications
- Services will be provided professionally
- Services will comply with applicable UK laws
- Confidentiality of Client information
Exclusion of Other Warranties: Intellico does not offer warranties for:
- Absence of errors or omissions
- Specific results
- Satisfaction of particular expectations
12. Force Majeure
Intellico shall not be liable for failure to perform obligations due to force majeure circumstances including:
- Natural disasters
- War or terrorism
- Pandemics or health emergencies
- Critical infrastructure failures
- Changes in laws or governmental regulations
In such cases, deadlines will be reasonably extended or terms renegotiated.
13. Duration and Termination
Duration: The agreement is valid from signature until service completion or termination according to these terms.
Termination: Either party may terminate the agreement:
- For material breach not cured within 15 business days after notice
- By mutual written agreement
- For insolvency or bankruptcy of the other party
14. Dispute Resolution
Negotiation: Any dispute shall be resolved by direct negotiation between authorised representatives within 15 days.
Mediation: If negotiation fails, recourse to mediation with a neutral mediator.
Arbitration/Litigation: If mediation fails, the matter shall be resolved by the competent courts in the UK.
15. Applicable Law
These Terms and Conditions are governed by UK law, including:
- English Common Law
- Consumer Rights Act 2015
- Companies Act 2006
- Applicable commercial laws
16. Amendment of Terms
Intellico reserves the right to amend these Terms and Conditions at any time. Amendments will take effect 15 days after publication. Continued use of the service implies acceptance of the amendments.
17. Entire Agreement
This agreement, together with the individual consultancy proposal and signed contract, constitutes the complete agreement between the parties. It supersedes all prior verbal or written agreements.
18. Severability
If any provision of these terms is found invalid, the remaining provisions shall remain in force. Reasonable effort will be made to replace the invalid provision with a valid one achieving the same effects.
19. Non-Waiver
Failure to exercise any right under these terms does not constitute waiver of that right. Any waiver must be expressed in writing.
